Know What You’re Signing.  We routinely draft or review employment contracts, management contracts, officer and director contracts, vendor agreements, independent contractor agreement, non-competes, non-disclosures, non-solicitations, compensation plans, commission agreements and other employment documents. As a business owner, it is important to set up your operations and contracts correctly the first time, rather than waiting until your contracts become an issue. In those cases, the legal costs will most likely be significantly higher.

Certain contracts must be carefully catered to your specific profession.  For example, we perform medical industry specific contract analysis, including physician employment contracts, medical director contracts, clinical affiliation agreements, and managed care contracts. These types of contracts take specialized knowledge regarding medical reimbursements, changes in the healthcare industry and laws, on-call schedules, various specialties and consideration of your geographic location and the location of your patients.  Low compensation and contract loopholes are two of the primary reasons why an estimated 50% of physicians ultimately leave their employers. These types of documents should be carefully drafted and reviewed.

When we review your contract, we will alert you to potential red flags, explain the meaning of all the legalese, suggest areas for negotiation, and make sure all of your questions are answered.  For contracts you’ve already signed, we will give you an opinion on its enforceability, explain any ambiguous provisions, and if needed, suggest strategies for enforcing or getting out of the contract.
